Terms of Service & Software License Terms

These Terms govern the purchase, installation and use of mAIndware software products, including the perpetual software licence and included update and support period.

1. About mAIndware

These Terms govern the purchase, installation and use of software provided under the mAIndware brand by SIA Baltic Supply Hub, Registration No. 40203720296, VAT No. LV40203720296, Brīvības iela 168-8, Rīga, LV-1012, Latvia.

By purchasing, downloading, installing or using a mAIndware software product, you agree to these Terms.

2. AI Product Content for CS-Cart

AI Product Content for CS-Cart is an add-on providing AI-assisted product-content functionality within compatible CS-Cart installations. Depending on the version, features may include product research, descriptions, image search, translation, store-specific AI training, product-type instructions and related automation. Current functionality and compatibility are described in the applicable product documentation or sales listing.

3. Licence Price and Term

The software licence price is the price displayed on the mAIndware website, CS-Cart Marketplace or other authorized sales channel at the time of purchase. The payment is a one-time software licence fee, not a recurring subscription.

The licence includes a perpetual right to use the software version obtained during the active update period, plus 12 months of software updates and standard technical support from the date of purchase.

After that period, the Customer may continue using the software version they are entitled to use. Continued access to new updates and standard support requires renewal. The licence fee does not include OpenAI API usage, CS-Cart licences, hosting, third-party services or custom development unless expressly stated otherwise.

4. Licence Grant

After valid purchase, mAIndware grants the Customer a limited, non-exclusive, non-transferable licence to install and use the purchased software for its intended purpose. Unless otherwise stated at purchase, one licence may be used for one production CS-Cart store/domain.

A reasonable development, staging or testing installation associated with that production store may be used for development and compatibility testing, provided it is not operated as a separate commercial store. Ownership of the software is not transferred to the Customer.

5. Permitted Use

You may install and use the software on the licensed store, configure it for your business, use generated content for products managed by your business, make reasonable backups, modify the software for your own licensed installation where technically necessary, and use an associated development/staging environment for testing.

Modifying the software does not transfer ownership of the original mAIndware software or create a right to redistribute it.

6. Prohibited Use

You may not resell, sublicense, rent, lease or redistribute the software; share a licence between unrelated businesses or independent production stores; publish or distribute the source code or installation package; provide copies to third parties; remove or circumvent licence validation; use an unlawfully obtained licence; or represent the mAIndware software as software created by you.

7. CS-Cart Marketplace Purchases

Where software is purchased through the CS-Cart Marketplace, the Marketplace handles the applicable ordering and delivery process and its own terms and policies also apply to that transaction. These mAIndware Terms govern the licence and use of mAIndware software to the extent applicable and do not override mandatory Marketplace terms.

Refunds are governed by our separate Refund Policy together with any applicable CS-Cart Marketplace procedures.

8. Software Updates

Each new licence includes access to mAIndware software updates for 12 months from the date of purchase. Updates may include bug fixes, compatibility and security changes, performance improvements, third-party integration changes, improvements to existing functionality and new functionality included in the licensed product.

After the included update period expires, the Customer may continue using the software version available under their licence, but updates released after the expiry date require renewal. Expiration of the update period does not terminate the licence and does not disable the installed software solely because the update period has expired.

A licence does not guarantee that every future major product, separately marketed module or optional service will be included as a free update.

9. Update and Support Renewal

The update and support period may be renewed after the initial 12 months. Renewal extends access to updates and standard technical support for the applicable renewal period.

Renewal is optional and is not required to continue using the software version already licensed. It does not convert the perpetual licence into a subscription.

The applicable renewal price and renewal period will be displayed before purchase. Renewal prices may change over time.

10. CS-Cart Compatibility

The software is intended for CS-Cart versions and editions identified as compatible in the product documentation or sales listing. We do not guarantee compatibility with unsupported or untested future versions, every third-party add-on, custom theme, core modification or server environment.

Customers should maintain appropriate backups before installing or updating CS-Cart, mAIndware software or other add-ons.

11. Support

Each new licence includes 12 months of standard technical support from the date of purchase. Support is available at [email protected] and covers reasonable assistance with installation, configuration and normal operation of the licensed mAIndware software.

Support does not automatically include custom development, third-party software modification, server administration, unrelated CS-Cart development or data entry. After the included period, continued standard support requires renewal.

Never send passwords, payment card information or OpenAI API keys to mAIndware support.

12. OpenAI and Bring Your Own Key (BYOK)

Some mAIndware functionality can use the OpenAI API. The Customer is responsible for creating and maintaining their own OpenAI account, obtaining and securing their API key, configuring it in their CS-Cart environment, maintaining sufficient API access or balance, paying OpenAI charges, and complying with the terms applicable to their OpenAI account.

The mAIndware licence fee does not include OpenAI API usage. SIA Baltic Supply Hub does not sell OpenAI API access, issue API keys, manage the Customer's OpenAI account or pay the Customer's OpenAI API charges.

13. AI-Generated Content

AI-generated or AI-assisted content may contain inaccuracies, incomplete information or unsuitable results. The Customer is responsible for reviewing generated product specifications, names, descriptions, translations, image matches, model numbers, technical information and SEO content before publishing or otherwise using it.

mAIndware does not guarantee that every generated result will be factually correct, complete, unique, legally compliant or suitable for a particular commercial purpose.

14. Product Image Search

Image-search results may originate from publicly accessible or third-party sources. The presence of an image in search results does not itself grant the Customer a licence or other right to use it. The Customer is responsible for determining whether they have the necessary rights or permission to use an image.

15. Third-Party Services

mAIndware software may interact with or depend on third-party products or services, including CS-Cart and OpenAI. These services are independently operated and may change their APIs, functionality, availability, pricing, requirements, limits or terms.

mAIndware does not control those services and cannot guarantee their continuous availability. Where reasonably possible, we may update the software to accommodate significant changes, but we do not guarantee that every third-party change can or will be supported.

16. Customer Responsibilities

The Customer is responsible for maintaining a valid CS-Cart installation and suitable hosting, protecting administrator accounts and API credentials, maintaining backups, testing significant changes where appropriate, reviewing AI-generated content, complying with applicable laws, and ensuring that published product information and images may lawfully be used.

17. Intellectual Property

The mAIndware software, including its source code, architecture, user-interface elements, documentation and other original materials, remains the intellectual property of SIA Baltic Supply Hub or its applicable licensors. The licence grants a right to use the software; it does not transfer copyright or ownership.

The Customer retains ownership of their own store data and content. Subject to applicable third-party rights, content generated by the Customer through the software may be used for the Customer's business purposes.

18. Warranty Disclaimer

To the maximum extent permitted by applicable law, mAIndware software is provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation, perfect AI accuracy, successful identification of every product, suitable results from every image search, continuous availability of third-party services, compatibility with every environment, or specific commercial, SEO, traffic or sales results.

Nothing in these Terms excludes warranties, rights or remedies that cannot legally be excluded.

19. Limitation of Liability

To the maximum extent permitted by law, SIA Baltic Supply Hub will not be liable for indirect, incidental, special or consequential losses, including loss of profit, revenue, business opportunities, expected savings, goodwill, data or website availability.

We are not responsible for losses caused by unreviewed AI-generated content, unauthorized use of third-party images, loss or disclosure of Customer-controlled credentials, OpenAI account restrictions or charges, CS-Cart failures or changes, third-party add-ons, hosting failures, or use outside documented requirements.

Where liability cannot legally be excluded, the aggregate liability arising from a particular mAIndware software licence will, to the extent permitted by law, be limited to the amount paid by the Customer for that licence. Nothing limits liability where such limitation is prohibited by applicable law.

20. Suspension and Termination

The licence may be suspended or terminated if the Customer materially violates these Terms, including unauthorized redistribution, licence sharing, circumvention of licence controls or unlawful use. Where reasonably appropriate, we may provide an opportunity to correct the violation before termination.

Termination does not automatically entitle the Customer to a refund. Refund eligibility is determined under the applicable Refund Policy and Marketplace procedures.

21. Changes to Software and Terms

We may improve, modify or discontinue individual features where reasonably necessary for technical, security, legal or compatibility reasons, and may update these Terms. Material changes apply prospectively to the extent required by applicable law. The current Terms and revision date will be published on the mAIndware website.

22. Governing Law

These Terms and the contractual relationship between SIA Baltic Supply Hub and the Customer are governed by the laws of the Republic of Latvia, subject to mandatory rights or laws that cannot legally be excluded. Disputes should first be addressed in good faith via [email protected].

23. Severability and Entire Agreement

If any provision is invalid or unenforceable, the remaining provisions continue to apply to the fullest extent permitted by law. These Terms, together with the applicable product description, Privacy Policy, Refund Policy and mandatory Marketplace terms, form the terms governing use of the mAIndware software unless a specific written agreement expressly overrides them.
